End User License Agreement

1. Parties and scope

This End User License Agreement ("Agreement") governs your use of software, web applications, integrations, and related services (collectively, the "Service") provided by Baker Software Solutions ("BSS," "we," "us," or "our"). By accessing or using the Service, you ("Customer," "you") agree to be bound by this Agreement.

2. License grant

Subject to your continued compliance with this Agreement, BSS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or otherwise redistribute the Service or its outputs.

3. Customer data and ownership

You retain all rights, title, and interest in data you submit to the Service ("Customer Data"), including but not limited to intake form responses, call recordings or transcripts, integration tokens, and uploaded files. BSS processes Customer Data solely to deliver the Service to you and as described in our Privacy Policy.

4. Third-party integrations

The Service connects to third-party platforms at your direction (including but not limited to QuickBooks Online, Trello, Google Workspace, Stripe, and others as we add integrations). You authorize BSS to act on your behalf within the scopes you grant. You remain responsible for the terms governing your accounts with those third-party providers, and BSS is not responsible for changes those providers make to their APIs, terms, or availability.

5. Acceptable use

You agree not to:

  • Use the Service to violate any law or regulation;
  • Attempt to reverse engineer, decompile, or circumvent technical controls in the Service;
  • Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure; or
  • Submit data of a person other than yourself or your business without that person's permission.

6. Service availability

BSS does not warrant uninterrupted availability. We aim for reliable operation but do not commit to a specific uptime SLA. Scheduled and unscheduled maintenance may occur. The Service is provided "as is" without warranties of any kind, except as required by applicable law.

7. Fees

Fees, if any, are described in the order form, statement of work, or invoice provided to you. Unless otherwise stated, fees are non-refundable.

8. Term and termination

This Agreement remains in effect while you use the Service. Either party may terminate this Agreement at any time. Upon termination, BSS will, on request, delete or return your Customer Data per the timelines in the Privacy Policy. Provisions reasonably intended to survive (including ownership, indemnification, and limitations of liability) will survive termination.

9. Limitation of liability

To the maximum extent permitted by law, in no event will BSS be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to this Agreement. BSS's aggregate liability under this Agreement will not exceed the fees you paid to BSS in the twelve (12) months preceding the claim, or $100 USD if no fees were paid.

10. Indemnification

You agree to defend, indemnify, and hold harmless BSS from any claim arising from (a) your violation of this Agreement, (b) your misuse of the Service, or (c) any data you submit that infringes a third party's rights.

11. Governing law

This Agreement is governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Maricopa County, Arizona.

12. Changes to this Agreement

BSS may update this Agreement from time to time. Material changes will be communicated by email or via the Service. Continued use of the Service after changes take effect constitutes acceptance.
